NaviWorld Vietnam Localization Packages (HEREINAFTER “SOFTWARE”) for Microsoft Dynamics is add-on applications which allows enterprises to align to Vietnamese Accounting Standard (VAS). VAS Localization Package developed by NaviWorld Vietnam for Vietnamese regulations are covered by this License Agreement. NaviWorld VAS Localization Package includes related functions, reports, languages, upgrades, updates, and modifications. The Software is based on Microsoft Dynamics tailored for business operating in Vietnam, to support businesses to meet Vietnamese tax laws by compliance with Vietnamese government regulations including but not limited VAT, VAS, The Circular No.200/2014/TT-BTC.

Client, Customer or End User means enterprises, organizations, or individuals who are provided license from NaviWorld Vietnam or any NaviWorld Vietnam re-seller partner and this License Agreement is a part of any agreement between NaviWorld Vietnam and Client.

BY (i) SIGNING AN CONTRACT, AGREEMENT OR ENGAGEMENT LETTER OF PROCUREMENT OF THE SOFTWARE, OR (ii) INSTALLING OR (iii) USING ALL OR ANY PORTION OF THE SOFTWARE, CLIENT ACCEPT ALL THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT. IF CLIENT DOES NOT AGREE TO THE TERMS OF THIS AGREEMENT, CLIENT MUST NOT USE THE SOFTWARE.

Customer may have another written agreement directly with NaviWorld Vietnam (e.g., a volume license agreement) that supplements or supersedes all or portions of this agreement. The Software is LICENSED, not SOLD, only in accordance with the terms of this agreement.

This License Agreement does not grant Client any right to receive enhancements, updates or installation services. Client must have separate agreement concerning such software services. For Client is currently on its annual enhancement plan, Client has right to upgrade the package version.

As the SOFTWARE is Microsoft certified add-on NaviWorld Vietnam and Microsoft may have technological measures to prevent unlicensed or illegal use and Client agrees that these technological measures may be used.

Client is not allowed to sublicense or transfer license ownership to any other enterprises or individuals unless Client re-registers its legal entity or have legal relationship for licensing share. Client should submit legal document to request any changes of license owner name. If Client does not comply with this License Agreement, NaviWorld Vietnam may terminate Client’s license.

NAVIWORLD VIETNAM RETAINS ALL COPYRIGHTS AND INTELLECTUAL PROPERTY RIGHTS OF VAS LOCALIZATION.

NaviWorld Vietnam does not warrant that the package is error-free or in right implementation. Any license issues can be reported to NaviWorld Vietnam Support Team; NaviWorld Vietnam has reasonable efforts to fix the issues. However, NaviWorld Vietnam is not responsible for any issues generated from software updates, modifications or customization which are not provided by NaviWorld Vietnam. IN NO EVENT SHALL NAVIWORLD VIETNAM BE LIABLE TO CLIENT OR RE-SELLER PARTNER FOR SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS OR REVENUE, LOSS OF GOODWILL, LOSS OF DATA, COST OF
CAPITAL, HOWSOEVER CAUSED, EVEN IF SUCH DAMAGES ARE FORESEEABLE OR NAVIWORLD VIETNAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANY OTHER PROVISION OF THIS AGREEMENT, THE ENTIRE LIABILITY OF NAVIWORLD VIETNAM TO CLIENT OR RE-SELLER PARTNER FOR DAMAGES FROM ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION OR THE CAUSE OF ACTION, WHETHER IN CONTRACT OR IN TORT  (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF A FUNDAMENTAL TERM, FUNDAMENTAL BREACH OR OTHERWISE, SHALL NOT EXCEED THE AGGREGATE OF THE LICENSE AMOUNT ACTUALLY PAID TO NAVIWORLD
VIETNAM AT THE TIME THE CAUSE OF ACTION AROSE.
